Start with seats, because everything scales off them
Clinicians who need a licence, then support staff, then anyone part time. Ask the vendor to quote both rates explicitly, because the assumption that support seats are cheap is wrong on roughly half of the quotes we see described.
Add the money paid before anybody logs in
Implementation, data migration and training days are all paid in the first quarter, whatever the subscription says. That is the number that decides whether the switch is affordable this year rather than in principle.
Pick a term and stay on it
Five years is a reasonable default for a small practice. Whatever you choose, put every vendor on the same one, because a total over a different number of years is not a comparison of anything.

Whoever signs this off thinks in terms of what it costs per clinician per year. Handing them that number, with the working printed underneath, is the difference between a decision and an argument.
